Terms & Conditions

Scope, payment, revisions, ownership and support — written the way we actually work, not copied from a template.

01Agreement to these terms

These terms govern every project ZoltrixTechnologies delivers and every use of zoltrixtechnologies.com. By accepting a proposal, paying a deposit or engaging us for work, you agree to them.

Where a signed contract or statement of work says something different, that document wins for that project. These terms cover everything it does not address.

02Definitions

"We", "us" and "ZoltrixTechnologies" mean the studio delivering the work.

"Client" and "you" mean the individual or company engaging us.

"Project" means the work described in the proposal or statement of work you approved.

"Package" means one of the priced tiers published on our services page.

"Deliverables" means the final files, code, designs and assets we hand over on completion.

03Services and scope

What a package includes is defined by the inclusion list published on our services page and repeated in your proposal. Anything not on that list is out of scope.

Out-of-scope work is not refused, it is quoted. We will price the change, tell you how it affects the timeline, and only start once you approve it in writing. We will never bill you for something you have not agreed to.

04Quotes, payment and currency

All prices on this site and in our proposals are in United States Dollars and exclude any taxes, duties or transfer fees that apply in your jurisdiction.

Fixed-scope projects: 50% deposit to begin, 50% due before final handover.

Retainers: billed monthly in advance, on the same date each month.

Invoices are due within 7 days unless your proposal states otherwise.

If an invoice is more than 14 days overdue we may pause work and hold deliverables until the account is settled. We will always email you before pausing anything.

05Timelines and what we need from you

Each package lists an estimated timeline. That estimate assumes you supply content, brand assets, access credentials and feedback within the windows we agree at kick-off — normally 3 business days per review round.

Delays on your side move the delivery date by at least the length of the delay. If a project goes quiet on your end for more than 30 days we may archive it; restarting later may require a rescheduling fee to cover the slot we held.

06Revisions

Every package includes a set number of revision rounds. A round means one consolidated set of feedback from you, actioned by us in one pass.

A revision is a change within the agreed direction — copy edits, colour and spacing adjustments, layout tweaks, bug fixes. A change of direction is not a revision: new pages, new features, a different design concept after one has been approved, or restructuring work already signed off. Those are quoted as scope changes.

07Intellectual property

On receipt of final payment, full ownership of the Deliverables transfers to you: the code we wrote for your project, the design files, the 3D source files, the illustrations and the brand assets. You can modify them, extend them, or hand them to another studio without asking us.

We retain ownership of our own underlying tooling — internal libraries, boilerplate, reusable components and development processes that predate or outlive your project. You receive a perpetual, worldwide, royalty-free licence to use those elements as part of your Deliverables, but not to resell them as standalone products.

Until final payment clears, all Deliverables remain our property.

08Portfolio and publicity

We may show completed work in our portfolio, on social media and in proposals, including screenshots, renders and a description of the problem we solved. We will not publish anything covered by an NDA, anything still under embargo, or your commercial figures without permission.

If you would rather we kept a project private, tell us in writing at any point and we will remove it. There is no charge and it does not affect anything else in your agreement.

09Third-party services and licences

Projects often depend on services we do not control — hosting, domains, fonts, plugins, APIs, payment processors and AI model providers. Fees for these are billed to you at cost or paid on your own accounts, and are disclosed before we build on them.

We are not responsible for a third party changing its pricing, terms, API or availability. If that happens we will tell you and quote the work needed to adapt.

10Support and maintenance

Your package includes a support window running from the launch date. Support covers bug fixes on work we delivered, minor content updates, and technical questions from your team.

It does not cover new features, redesigns, third-party outages, problems caused by changes made by someone else after handover, or ongoing content production. Those are quoted separately or covered by a monthly retainer.

11Cancellation and refunds

You may cancel a project at any time in writing. Deposits are non-refundable once work has started, because they reserve the team's time and cover the discovery phase. Any milestone completed before cancellation is payable in full, and we will hand over the work completed to that point.

Monthly retainers can be paused or cancelled with 14 days' notice before the next billing date. We may end an engagement ourselves if scope repeatedly changes without agreement, if invoices go unpaid, or if the working relationship becomes abusive — in which case you pay only for completed work.

12Confidentiality

Anything you share with us about your business, product, roadmap, users or finances stays confidential, both during the project and after it ends. We are happy to sign your NDA before scoping starts and will not treat it as a negotiation.

The same obligation runs the other way: our proposals, pricing breakdowns and internal documentation are confidential to you.

13Warranties and disclaimers

We warrant that the work will be performed with reasonable skill and care, and that the Deliverables will substantially match the approved scope at handover.

We do not guarantee business outcomes. Specifically, we make no promise about search rankings, traffic volumes, conversion rates, revenue, funding, or the factual accuracy of any output produced by an AI system. AI models are probabilistic and can be wrong; systems we build include human review points where accuracy matters, and you remain responsible for how their output is used.

14Limitation of liability

To the maximum extent permitted by law, our total liability arising from a project is capped at the total fees you paid us for that project.

We are not liable for indirect or consequential losses — lost profits, lost data, lost business opportunities or reputational damage. Nothing in these terms limits liability for fraud, or for anything that cannot lawfully be limited.

15Force majeure

Neither side is in breach for delays caused by events beyond reasonable control — natural disasters, war, prolonged infrastructure or internet outages, government action, or the failure of a critical third-party platform. We will notify you promptly and agree a revised timeline.

16Governing law and disputes

These terms are governed by the laws of [Insert jurisdiction], and the courts of [Insert jurisdiction] have exclusive jurisdiction over any dispute.

Before anyone files anything, both sides agree to spend 30 days trying to resolve the matter directly. In our experience a phone call settles almost everything.

17Changes to these terms

We may update these terms as our services change. The revision date at the top of this page shows the current version. Changes are not retroactive: the version in force when you accepted your proposal governs that project.
